Corporate Governance is a system to manage and supervise the company. It defines how rights and duties are distributed among company stakeholders, including shareholders, executive management, governing bodies, employees, and customers. The governance at Volkswagen Group Technology Solutions India Private Limited (VWITS) is a set of legal and executive methods and procedures committing us to maintain a balanced relationship between the company and its workforce.
The aim is to engage in responsible, qualified, and transparent business management focused on the company’s long-term success and the protection of stakeholder interests.
The Volkswagen Group lays great emphasis to be perceived as a successful, transparent and open company by employees, business partners, all customers and the public at large.
At the same time, corporate policy rests on principles enshrined in the “Code of Conduct”. The Code of Conduct in place is based on the application of generally accepted social values.

Integrity is a core element of professional conduct for us and this is the only thing we aim for: to do the right thing in a given situation.
As the basis for running our business, integrity must affect all levels. This means integrity is an obligatory criterion for all the Board of Management’s decisions: every submission to the Board of Management must include an opinion by the responsible company´s department on the way in which the intended decision support the Group’s integrity and compliance or whether/ what potential integrity or compliance risks are associated with it and how they can be lessened.
Compliance
Volkswagen Group and VWITS as a company are as a whole rigorous in their duty of adherence to legislation, internal regulations, ethical principles and other voluntary commitments. Compliance reaches beyond business relations to embrace activities both within and outside the group. This is the Volkswagen Group’s way of signaling loudly and clearly that its conduct will echo the requirements of legal and ethical rules on competition, finances and taxes, environmental protection and employee relations, including the safeguarding of equal opportunities.
Volkswagen Group Technology Solutions has a Governance, Risk & Compliance Department to oversee the pursuit of these values. This department’s work includes the provision of consulting on all compliance-related issues and the implementation of appropriate measures to raise awareness of the intrinsic value of compliance among the workforce and third parties. Risk Management
The Volkswagen Group’s risk management structure is built on a common principle of risk management within the Volkswagen Group complying with German legislative requirements. Risk management, as an operational component of the corporate process, must pinpoint individual risks down to the last detail, assess how great they are, take action to eliminate them, and document how effective the response has been.
The Volkswagen Group’s global operations on automotive markets throw up numerous risks that could dent its financial performance and business success. At the same time, economic and regulatory changes can offer opportunities that the group then strives to seize so that it is able to consolidate and build on its competitive position.
Whistleblower system
Complying with statutory regulations and internal rules, and the principles laid down in the Code of Conduct at Volkswagen Group Technology Solutions India Private Limited (VWITS) and the Code of Conduct for Business Partners, has top priority at VWITS. The success of our company is based on Integrity and Compliance.To meet these standards, it is important to learn of potential employee or supplier misconduct and to put a stop to it. Therefore, we entrusted the Central Investigation Office of the Volkswagen Group to operate an independent, impartial and confidential Whistleblower System on our behalf.
A key pillar of our Whistleblower System is the principle of procedural fairness. It also guarantees the greatest possible protection for whistleblowers, persons implicated and employees contributing to the investigation of reported misconduct.
This also includes offering opportunities for anonymous reporting and communication. We assure not to perform any steps in order to identify anonymous whistleblowers, who do not misuse our Whistleblower System. Retaliation of whistleblowers and all persons who contribute to investigations at VWITS will not be tolerated. Persons implicated are presumed innocent until the violation of applicable laws and/or internal regulations is proven. Investigations will be conducted with the utmost confidentiality. The information will be processed in a fair, fast and protected process.
How do we process your report?
The qualified and experienced colleagues at the Central Investigation Office of the Volkswagen Group examine every report for potential misconduct by a Volkswagen Group employees thoroughly and follow it up systematically. If you report potential misconduct, you will get a confirmation of receipt first. The Central Investigation Office of the Volkswagen Group then assesses your report. This includes gathering facts particularly from the Whistleblower. Only if this initial evaluation shows grounds for suspicion of a violation an investigation by a dedicated Investigating Unit will be started. Afterwards, the results of the investigation will be assessed by the Central Investigation Office of the Volkswagen Group and appropriate measures will be recommended. Information about the status* and the outcome of the procedure will be given to you without undue delay.
Potential violations of the Code of Conduct for Business Partners by suppliers, including serious risks and violations of human rights and environment by direct and indirect suppliers, can also be reported to the Central Investigation Office of the Volkswagen Group - as well as reports requiring otherwise immediate action. The Central Investigation Office of the Volkswagen Group will inform the responsible departments, who will process the issue accordingly. This particularly includes taking the necessary measures to minimize or end violations and/or risks.

If you have any from the customer's point of view any questions, inquiries, feedback or complaints about the services provided by VWITS or its business partners (e.g. vendors, service partners), please contact directly your partner within the company. Thank you for your understanding that our Whistleblower System is not primarily meant for questions or complaints of the customers.
Making a report to our Whistleblower System
The Whistleblower System offers various channels to report potential employee misconduct that allow a swift review and reaction by our company if necessary.
However, this does not affect the statutory right to contact other designated authorities in India.

The Volkswagen Group has appointed external lawyers to act as Ombudspersons. They advise on the Whistleblower System. Also, the Ombudspersons ensure that, if the whistleblower desires, the reports are forwarded anonymously to the Central Investigation Office of the Volkswagen Group. The COVID-19 pandemic, which has left us working at home for over a year that has intensified the impact of work on our personal lives. Boundaries between work and life have eroded due to work from home, leading many to feel like they live at work because of pandemic-limited opportunities for entertainment and socializing. And societally, we've all been touched by crippling uncertainty and ongoing worries for ourselves and our loved ones.
At VWITS, our belief is when our associates are in a state of wellbeing at work, they're able to develop their potential, be productive and creative, build positive relationships with others, better cope with stress, and make meaningful contributions. To differentiate us as an employer that deeply cares, VWITS proactively identified multi-dimensional wellbeing challenges and holistically designed support systems to address the specific forms of stress and anxiety that our associates faced in the last six months. That gave rise to new trend of wellness at work. Sometimes making progress means taking rest days. Our leaders realized in early May that it was time for all to take some breaks, rest and recuperate. It was time to spend some family time and live some moments of togetherness. Our leaders announced 5 days breaks over and above regular leaves over a period of 4 weeks to enable rest and family bonding and care. This care received tremendous appreciation from associate and our families, besides heartfelt gratitude and appreciation from friends and acquaintances in social media as well.
A generous number of covid leaves helped our employees to take time off without using any other leave to take care of themselves and their families. Human Resources Business Partners have been in touch with our associates during this time to check and monitor their situation and health. They worked relentlessly to support over 80 associates and families over the last 3 months.
VWITS has tied up with Practo, India's no.1 online doctor consultation app that offers complete telemedicine solutions for us and our family's health and medical needs. With Practo we can access video consultations with doctors; find & book appointments with a doctor near us; order medicines online with special discounts; book diagnostic tests and full body checkups; buy affordable family health plans etc. For this to be effective, Practo will provide helpdesks to help users understand the solution.
With so many references and messages, having a one stop for associates to look at the curated content on Covid was necessary. Our Wellness Influencer (Human Resources) created a dedicated page to incorporate all conducted webinars, FAQs, SPOC and contact number from HR etc. Webinars conducted by Dr. Manoj Pawar over two sessions over one hour each was well appreciated. We received a fantastic score of 3.8/4 on the content. Further webinars conducted by Psychologists will also be featured here for future reference. Dr. Pawar supported HR team in enabling associates with beds availability during the thick of pandemic and also provided his opinion on the treatment conducted for associates and families.
We had a change of vendor for Group Medical Insurance in April and we negotiated a great package to support situations with Covid. Overall for VWITS, we enabled associates with treatment supported by our Insurance policy to an extent of 37,39,293/- over the last 6 months. Our policy supported 45 associate and their family members.
Separation of family members, deaths of loved ones, anxiety of losing family members, managing logistics of beds availability, oxygen concentrators gripped people all through the pandemic. We needed supported from experts during this time to rest and calm our minds. VWITS team came together to provide that support. HR searched for the best experts in town and worked out special discounts with Psychologists on deep consulting (hourly consultation with multiple rounds). Additionally to create awareness and support associates and family members, HR arranged for workshops on mental wellbeing. To help VWITS extended families find their inner calm and peace during the turbulent times, we requested Sanjeev Suryakumar, our trainer to conduct a series of four sessions of VWITS Massive Sahajyoga meditation spanning across 3 weeks during early morning hours.
During the mid of the pandemic, we noticed associates running helter skelter for Oxygen. In many situations, we were limited and constrained in our support even though we wanted to support. We would not like to face this situation in the future. Hence to support associates and families with Oxygen, we have bought good numbers of Oxygen concentrators in Pune and Gurugram to cater to the future needs.
VWITS has decided to support associates and families with the vaccination benefit, either in terms of picking up the cost for associates and their families or even facilitating vaccination drives for associates who are essential staff for VWITS from a business continuity perspective.
With health clubs and other sports avenues closed during the pandemic, there were absolutely no options for our associates to be motivated on physical health. We consider this extremely important as this affects their health in future. VWITS tied up with HealthifyMe, an Indian digital health and wellness platform that provides services such as calorie tracking, one-on-one nutrition and fitness coaching, and diet and workout plans. With a 24 X 7 AI driven nutrition BOT and Snap app to photo-track the calories of what you're about to eat - this program becomes a master fitness program in the virtual world for VWITS associates.
Life in the last few months have been changing as never, before. Our homes have become offices and most of us are using variety of infrastructure of Homes to support the Office work.Recent data from health experts state that there is a spike in concerns such as pain in the body, cramps, headache, eye strain, over use syndrome, so on. We've invited Featherlite and Qualified Ergonomist to highlight the importance of Ergonomics, support us in correcting our postures and take care of our well-being.
